Terms and Conditions
These Terms and Conditions apply to all sales of goods, services, or a combination of both by T.E. (PNG) Ltd (“we”, “our”, “us”).
By purchasing from us, you (“you”, “your”, “the customer”) agree to the following:
- Product and Service Description
1.1 We aim to provide clear and accurate descriptions of the goods and services we supply.
1.2 Our goods include, but are not limited to, communications equipment, accessories, and related products.
1.3 Our services include design, installation, configuration, commissioning, maintenance, and related technical support.
1.4 You should seek clarification from us prior to purchase if any information is unclear.
- Pricing
2.1 All prices are stated in Papua New Guinea Kina (PGK) and include GST unless otherwise specified.
2.2 Prices may change without notice; however, confirmed quotations and accepted orders will be honoured.
2.3 Payment may be made by EFT, credit card, debit card, or other approved methods.
2.4 If payment is overdue, we may charge interest at 7.5% per annum, calculated daily and charged monthly, and/or suspend further supply until the account is brought up to date.
- Quotation Conditions
3.1 Validity: Quotations are valid for 30 days from the date of issue unless otherwise stated.
3.2 Currency & Taxes: All prices are in PGK and include GST unless otherwise indicated.
3.3 Freight and Insurance: Freight and transit insurance are not included unless specifically stated in the quotation.
3.4 Lead Times: Delivery times are estimates only and subject to stock availability at the time of order placement.
3.5 Acceptance: A purchase order (for approved account customers) or upfront payment is required before work or supply commences.
3.6 Variations: Any change to specifications, quantities, or scope may result in price and/or delivery adjustments.
3.7 Warranty: Refer to Section 6.
3.8 Returns: Return authorisation is required. Return conditions and restocking fees apply.
3.9 Errors & Omissions: T.E. (PNG) Ltd reserves the right to correct typographical or clerical errors in pricing or descriptions.
- Payment Terms
4.1 For online or counter sales, payment is due at the time of purchase.
4.2 For goods or services supplied on account, payment is due 30 days from invoice date, unless otherwise agreed in writing.
4.3 Failure to pay by the due date may result in recovery action, and you will be liable for reasonable recovery costs incurred.
- Returns, Refunds, and Consumer Guarantees
5.1 Nothing in these Terms excludes or limits rights you may have under applicable Papua New Guinea law.
5.2 If a product or service is faulty, not as described, or does not meet statutory consumer guarantees, you may be entitled to a repair, replacement, or refund in accordance with applicable PNG legislation.
5.3 Returns are only accepted where agreed in writing, unless otherwise required by law, and restocking fees may apply.
5.4 To request a return or warranty claim, contact sales@tepng.com.
5.5 Return of Goods Conditions:
- A restocking fee of up to 20%, as determined by us, may apply
- Returns must be requested within 7 days of invoice date
- Prior return authorisation is required
- Goods must be unused and in original packaging
- Freight and handling costs are not refundable
- Special Order Items are Not Returnable
- Warranties and Disclaimers
6.1 In addition to statutory rights, manufacturer or supplier warranties may apply where offered.
6.2 Any such warranties will be provided directly by the manufacturer or supplier and specified in writing.
6.3 We are not responsible for faults or damage arising from misuse, unauthorised repairs, or integration with third-party equipment or software.
6.4 Except as required by law, all other warranties, representations, or guarantees, whether express or implied, are excluded.
- Delivery, Risk, and Title
7.1 Delivery times are estimates only, and we are not liable for delays outside our reasonable control.
7.2 Risk in the goods passes to you upon delivery to your nominated address or collection point.
7.3 Title to goods remains with T.E. (PNG) Ltd until full payment has been received.
- Limitation of Liability
8.1 To the maximum extent permitted by law, our liability for any claim is limited (at our option) to:
- resupplying the goods or services; or
- paying the cost of having the goods or services resupplied.
8.2 We are not liable for indirect or consequential losses (including loss of profit, data, or business opportunity), except where such liability cannot be excluded under applicable Papua New Guinea law.
- Complaints and Disputes
9.1 If you have a complaint, please contact us promptly at info@tepng.com.
9.2 We will acknowledge complaints within five (5) business days and work in good faith to resolve them.
9.3 If a dispute cannot be resolved internally, either party may pursue external dispute resolution or legal action.
- Intellectual Property
10.1 All intellectual property, including designs, software, documentation, drawings, and technical information supplied by us, remains our property or that of our licensors.
10.2 You are granted a limited, non-transferable right to use such materials solely for operating or maintaining the goods or services supplied.
- Force Majeure
11.1 We are not liable for failure or delay in performance caused by events beyond our reasonable control, including but not limited to shipping delays, customs delays, acts of government, natural disasters, labour shortages, or supplier disruptions.
- Communications
12.1 You agree that information you provide to us is accurate and complete.
12.2 We may provide communication and operational support via WhatsApp and Odoo, which you acknowledge as accepted communication channels for service-related matters.
12.3 We may update these Terms from time to time. Continued use of our goods or services constitutes acceptance of the updated Terms.
- Governing Law
13.1 These Terms and Conditions are governed by the laws of Papua New Guinea.
13.2 The courts of Papua New Guinea have exclusive jurisdiction over any disputes.
